Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Palarian desktop app, website, and any related APIs, content, and services (the "Service"). By accessing or using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

1. What Palarian is

Palarian is a Windows app that can capture audio (when enabled), transcribe in real time, and send content to AI models to generate responses. The Service may include "invisible mode" for screen capture, click-through, configurable prompts, and a knowledge base (RAG) with user documents.

2. Eligibility and account

  • You must be legally able to enter into a contract in your jurisdiction.
  • You are responsible for keeping your credentials confidential and for all activity under your account.
  • We may enforce "device lock" (linking an account to an active device) to reduce fraud and abuse.

3. API keys and AI providers

Some features require you to provide your own API key (for example, OpenAI). When you use those features:

  • you authorize Palarian to use your key to send requests on your behalf;
  • any costs charged by the provider (for example, tokens, transcription, embeddings) are your responsibility;
  • your use of third-party models and APIs is subject to that third party's terms and policies.

We are not affiliated with and are not responsible for third-party services.

4. User content and license

"User Content" includes text, transcripts, prompts, and documents you upload or generate in the Service.

You:

  • retain all rights to your User Content; and
  • grant Palarian a limited, worldwide, non-exclusive license to host, store, process, and transmit your User Content solely to operate, maintain, and improve the Service (including creating embeddings and chunks for RAG).

You represent you have the necessary rights to your User Content and that it does not violate laws or third-party rights.

5. Acceptable use

You agree not to:

  • use the Service to violate laws, regulations, court orders, employer/institution policies, or third-party rights;
  • use "invisibility" features to facilitate fraud, intrusion, spying, harassment, stalking, privacy violations, or any unlawful conduct;
  • bypass security measures, reverse engineer (except where permitted by law), interfere with the Service, or attempt unauthorized access;
  • upload malware, illegal content, or third-party sensitive data without authorization.

You are responsible for obtaining consent where required for recording, transcription, sharing, or use of third-party content.

6. Subscriptions, payments, and taxes (when applicable)

We may offer paid plans. If you purchase a plan:

  • payments are processed by Stripe;
  • prices may include taxes or taxes may be added as applicable;
  • we may change pricing and plans in the future, with notice when required.

7. Availability and changes

We may modify, suspend, or discontinue the Service (in whole or in part) at any time. We may impose usage limits or refuse service to protect the system, comply with legal obligations, or reduce abuse.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT RESULTS (INCLUDING AI OUTPUTS) WILL BE ACCURATE OR FIT FOR A PARTICULAR PURPOSE.

AI outputs may be incorrect, incomplete, or biased. You must review and validate before making decisions.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALARIAN WILL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, OPPORTUNITIES, OR REPUTATION;
  • FAILURES OR ACTS OF THIRD PARTIES (INCLUDING OPENAI, SUPABASE, STRIPE) OR THIRD-PARTY NETWORKS/PLATFORMS.

IF LIABILITY IS FOUND, OUR TOTAL LIABILITY WILL BE LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID PALARIAN IN THE 3 MONTHS BEFORE THE EVENT, OR (B) USD 100, UNLESS THE LAW DOES NOT ALLOW THIS LIMITATION.

10. Indemnification

You agree to indemnify and hold Palarian harmless from claims, losses, and expenses arising out of your use of the Service, your User Content, or your violation of these Terms.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if we believe you violated these Terms, if there is a security risk, or if required by law.

12. Governing law and venue

These Terms are governed by the laws of the place where Palarian is established, without regard to conflict of laws principles. Except where prohibited by law, you agree to exclusive venue in that place.

14. Miscellaneous

If any provision is held invalid, the remaining provisions remain in effect. These Terms are the entire agreement between you and Palarian regarding the Service.
